Do you mean it literally will not download, or it downloads and will not install, or it installs and you can not see it in the toolbar?

It appears to download but when I click on check spelling I get the message "exception raised! Automation server can't create object!

I mean it's weird!

click here are you using the 64 bit version of IE8, if so that is the cause of the problem. I have Win 7 64 bit on two lappies and use the 32 bit version with iespell no problem.

the 32 bit version of IE8.

Yes I have win7 64bits of IE8 and the 32 version of IE8. (why this is so puzzles me, both versions on the same computer seems daft). I prefere using the 64bits IE8 version, but I cannot find a spell checker that works with it. The 32bits version of IE8 works fine.
