Windows XP update Agere Systems Modem

I have an automatic Windows update sitting permanently on my task bar for Agere Systems PCI Soft Modem, because each time I run it, a failure to update message appears. Searches on line through Microsoft are useless as usual.
I am currently on broadband and have seen that this modem is only used by dial-up.
As I see it I have 3 options
(a)If I delete this 211mb item via my Program Delete option, will I be in trouble?
(b)Can I get an update for this driver ?
(c)Can I rid myself of the Windows update.

If you aren't connecting to internet via dial-up, you can uninstall the modem software or even disable the hardware if you like.

I have taken the bull by the horns, uninstalled the Agere Modem program, got rid of the Windows update notification, and rebooted. As you can see, the system is still working. Thanks gengis, this time you could.
