I want to upgrade my mother board from a MSi Kt4V with athlon 2600 to Asus A8V DELUXE/WIFI-G with a AMD64 3500 cpu, is this poss without too many problems or will it be really techy. The machine runs XP home with SP2 and has 1gb of ram. Will it just be a simple matter of conecting everything to the new board or will I have to back up everything and use a new hard drive.

As both motherboards use VIA chipsets, you have a good chance that Windows will accept the new motherboard as it is. However be prepared to have to format your hard drive and reinstall Windows. It is almost certain that you will have to re-register your Windows XP. With such a drastic system change, make sure that you have first backed up all your important files just in case your hard drive gets corrupted.
