CPU - Z is showing wrong numbers help please

hi, i hope you can help me on this. i will first start with my PC specs :

ASUS P5KC AiLifestyle Series iP35 Socket 775 8 channel audio ATX Motherboard
Corsair 2GB Kit (2x1GB) DDR2 800MHz/PC2-6400 XMS2 Memory Non-ECC Unbuffered CL5(5-5-5-12
Dual Core E6750 CPU
Arctic Cooling AC-FRZ-7P Freezer 7 Pro Socket 775 Processor Cooler
Seagate ST3250410AS 250GB Hard Drive SATAII 7200rpm 16MB Cache
Inno3D 8800GT (G92) 512MB 256bit GDDR3 Dual DVI HDTVOut PCI-E Graphics card

now the problem: i have overclocked CPU from 2.6 to 3.2 MHz RAM is still on factory seting. all is stable and working perfectly ok its just that BIOS is showing diferent mubers than CPU-Z diagnostick program. BIOS shows 3.21 MHz and ram on 800MHz and timing 5-5-5 -12 thats all good but CPU-Z shows core speed 2.4MHz x 6 not 8 as it should be and ram is 400MHz 1:1 5-5-5-12 its just i do not know what to believe and as well the asus diagnostik progeam stoped working after overclock but the system is stable. i just need to know whether BIOS is right or CPU-Z is right can you help on this one please ?
