vista upgrade says i need to convert to ntfs but

got a acer laptop with windows media edition on it,just got home premium vista upgrade disc says i need to convert to file system to ntfs fair enough,go to cmd prompt type in the convert d:etc but it comes up volume label..huh so i press enter it says incorrect,how do i convert this to install vista? i have a 120 gb drive split in two system files on d: and xp on c:.i thought i could just bosch in upgrade disc and that would be it,but noooooo
