Modem causes reboot

Have converted an ex network computer...FIC 2013 MoB,Athlon K6,Win 98SE...removed original Network card and inserted a sound card & modem...everything works OK,,no conficts reported although I notice the modem is sharing an IRQ with the USB controller.
Run control panel - modem - diagnostics and a full list of AT's etc are listed
Try to set up ISP with supplied CD & at dial out point Comp shuts down & reboots.
Try to use Connection Wizard & requested to restart windows and log on....
Run CheckIt test for modem ( WITH & WITHOUT phone conected) and on reaching the dial tone test Comp shuts down & reboots !
Is there some left over network setting in Windows,the Bios or on the MoB that needs disabling...or is the Modem US ? Any ideas ?
