Help with removing MS Office 97

I have inherited an old computer: Duron 700Mhz with 128MB RAM running WinXP. It also has on it MS Office Pro.97. I want to upgrade this to Office XP but when I try to remove it, I get the message:
Window heading: 16 bit Windows Subsystem
C:\WINDOWS\SYSTEM32|AUTOEXEC.NT. The system file is not suitable for running MS-DOS and Microsoft Windows applications. Choose 'Close' to terminate the application.
There are two buttons, Close or Ignore and either just brings me back to the Add or remove programs window
Firstly, why cant I remove it but then do I actually need to, or can I just try and install Win XP over the top. Or secondly, is this computer not powerful enough for the upgrade anyway. It runs pretty slowly as is and really I just need Word but cant get rid of the rest of office anyway.

to download the fix.
